These Terms and Conditions govern your use of Sundial Fox's website and services. By contacting us, submitting an enquiry, or engaging any of our services, you agree to these terms. Please read them carefully.
1. Definitions
"Sundial Fox", "we", "us", "our" — the business operating at No. 12, Jalan Telawi 3, Bangsar Baru, 59100 Kuala Lumpur, Malaysia.
"You", "Client", "User" — the individual, teacher, or tutoring centre engaging with our website or services.
"Services" — the educator support services offered by Sundial Fox, including the Teaching Tools Review, Lesson Content Setup, and Teaching Workflow Programme.
"Deliverables" — written summaries, review checklists, training sessions, and maintenance guides produced as part of a service engagement.
"Agreement" — the contract formed when you confirm engagement of a service, comprising these Terms and any written scope confirmation.
"Materials" — lesson notes, worksheets, or other documents you share with us for review purposes.
2. Acceptance of Terms
By submitting an enquiry through our website or verbally agreeing to engage a service, you confirm that:
- You are at least 18 years of age.
- You have the legal capacity to enter into a service agreement.
- If acting on behalf of a school or tutoring centre, you have authority to bind that organisation.
- You have read and accepted these Terms.
3. Service Description and Availability
Sundial Fox offers three educator services aimed at Malaysian teachers and tutoring centres who wish to explore or adopt assistive drafting tools for lesson preparation. The services are:
Teaching Tools Review — RM 480
Material review, sample output preparation, written summary.
Lesson Content Setup — RM 1,640
Tool configuration, review checklist, training session.
Teaching Workflow Programme — RM 2,820
Multi-subject setup, review cycle, maintenance guide.
Services are primarily available in Malaysia. Remote delivery (via video call or messaging) is available to clients outside the Klang Valley. We reserve the right to decline or postpone an engagement if capacity is unavailable.
4. User Responsibilities
When engaging our services or using our website, you agree to:
- Provide accurate information about your teaching context.
- Share only materials you have the right to share (e.g. your own lesson notes — not copyrighted third-party content).
- Respond to our requests for information or feedback in a reasonable timeframe.
- Conduct yourself respectfully in all communications with Sundial Fox team members.
- Review all tool outputs carefully before using them in your teaching practice — output from any assistive drafting tool remains your professional responsibility.
Prohibited: using our services for purposes unrelated to educator support, misrepresenting your identity or affiliation, or attempting to circumvent any agreed scope limitation.
5. Intellectual Property
All content on this website — including text, design elements, and structure — is the property of Sundial Fox and may not be reproduced without written permission.
Deliverables produced for your engagement (written summaries, checklists, maintenance guides) are provided to you for your own use. You may use, copy, and adapt them internally for educational purposes. You may not resell or commercially distribute them.
Materials you share with us remain your property. We do not claim any ownership over your lesson content.
6. Payment Terms
- All prices are quoted in Malaysian Ringgit (RM) and are inclusive of applicable taxes where stated.
- Payment terms will be confirmed in writing before the engagement begins. Full or partial payment may be required upfront depending on the service.
- Accepted payment methods will be communicated at the time of confirmation.
- Prices listed are per engagement as described in the service scope — not recurring charges.
Cancellation and refunds:
If you cancel before work has commenced: full refund. If work has commenced: a partial refund reflecting the proportion of work not yet completed may be offered at our discretion. We are not able to offer refunds for completed deliverables that have been provided to you. Any scope changes agreed mid-engagement will be quoted separately.
7. Disclaimers
Sundial Fox provides setup, review, and advisory support. We do not create, own, or operate the assistive drafting tools reviewed in our services — those are third-party products.
Our services are advisory in nature. We do not warrant that any particular tool will meet your expectations or produce outputs suitable for every teaching scenario. Educators retain full professional responsibility for all lesson content used in their classrooms.
Our website and services are provided in good faith and on an "as available" basis. We do not warrant that the website will be continuously available or error-free.
8. Limitation of Liability
To the fullest extent permitted under Malaysian law, Sundial Fox's total liability for any claim arising from our services shall not exceed the amount paid for the specific service in question.
We are not liable for indirect, incidental, or consequential losses, including loss of teaching time, data, or reputational harm, arising from your use of any tool we have reviewed or configured.
9. Confidentiality
We treat all materials and information shared with us as confidential. We will not share your teaching materials, student information, or internal centre processes with third parties without your consent.
We may reference the general nature of engagements (e.g. "a secondary school Science teacher") for illustrative purposes without identifying you or your organisation. Testimonials are only published with explicit consent.
10. Termination
Either party may terminate an engagement by giving written notice. On termination, any deliverables completed to that point will be provided to you. Payment for work completed to the point of termination remains due.
We reserve the right to terminate an engagement without notice if we reasonably believe there has been a breach of these Terms or if continued engagement would be inappropriate.
11. Dispute Resolution and Governing Law
These Terms are governed by the laws of Malaysia. Any dispute arising from or related to these Terms shall first be addressed through good-faith discussion between the parties.
If informal resolution is not achieved within 30 days, either party may refer the matter to mediation before pursuing formal proceedings. The courts of Malaysia (Kuala Lumpur jurisdiction) shall have final authority.
Consumer rights under the Consumer Protection Act 1999 (Malaysia) are not affected by these Terms.
12. General Provisions
- Entire agreement: These Terms, together with any written scope confirmation, form the entire agreement between the parties.
- Severability: If any part of these Terms is found unenforceable, the remainder continues in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that or any other provision.
- Assignment: You may not transfer your rights or obligations under these Terms without our written consent. We may assign our obligations to a suitably qualified successor.
13. Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the "Last Updated" date above. For active engagements, we will notify clients of material changes. Continued use of our website or services after changes constitutes acceptance.
